The annual and special meeting of shareholders of CPI Plastics Group Ltd. was held on May 9, 2008, at 4:00 pm at CPI Plastics Group Ltd., 151 Courtney Park Dr. W., Mississauga, Ontario.

History

CPI Plastics Group Ltd., located just outside of Toronto in Mississauga, Ontario, is a leading North American supplier of extruded thermoplastic systems, functional components and decorative trims. CPI has a proven track record of creating new markets, partnerships and growth.

As one of the most diversified extruders in North America, CPI is currently recognized by its customers for the innovative design, engineering and manufacturing of extruded profiles. CPI has been honored with a myriad of awards and is especially proud of being twice recognized as one of Canada's 50 Best Managed Private Companies and one of General Electric's Distinguished Suppliers three years consecutively.

CPI is also proud of our fabrication abilities, which dramatically enhance our product offerings and make us a “complete system supplier”.  To add value for our customers, we have mandated our large and comprehensive engineering department the responsibility of on-line fabrication wherever economically viable.

In 1972 in Bolton, Ontario, CPI began as a manufacturer of automotive body side molding. In 1989 Peter F. Clark acquired CPI and a much greater emphasis was placed on custom-engineered products. This resulted in major supply contracts with OEM companies playing a large part in the growth and success of CPI. In 1992, a second plant, 979 Gana Court (now Head Office) was acquired in Mississauga. In late 1994, CPI acquired Extrusion Plastics Inc., whose specialty was large functional parts employing vacuum calibration to achieve shape and tolerances. This acquisition was moved to a new plant in Mississauga, adjacent to Head Office.

CPI's fourth plant, built in 1998, is the manufacturing location for a new product Extrudawood™. Extrudawood is a wood look-alike replacement material, which combines the flexibility and durability of plastic with the warm look and feel of natural wood. On October 23, 1998 CPI and Extrudawood International PLC entered into a North American royalty and licensing agreement under which CPI markets and produces Extrudawood in North America and Mexico. CPI and Extrudawood PLC also entered into an International Marketing and Distribution Agreement in which CPI holds a 75% equity interest in future profits derived from exploiting Extrudawood product potential in world markets. Licensee agreements for Extrudawood have been completed or are under negotiation in many international markets. Extrudawood is currently being marketed as a wood replacement or wood alternative for new products.Several major manufacturers have based significant new product launches on Extrudawood.In addition, CPI manufactures Extrudawood – The Complete Decking System, distributed across North America to compete in the growing $6.5 billion outdoor decking market.

The acquisition of CPI's fifth plant in early 1999 represented the next logical step in our evolution. With 18 extruders, it allows CPI to grow as projected in their 2000 Business Plan. The company also maintains a distribution facility in Elkhart, Indiana servicing the RV and Van Conversion industry.

In September, 1999 CPI acquired Extrufix Inc., a leading Canadian plastic film extruder, with manufacturing facilities in Pefferlaw, ON and an office/warehouse in Richmond Hill, ON. Extrufix manufactures and markets the Rack Sack™ trash management system and complete line of plastic bags, including indoor and outdoor garbage bags, and lunch, freezer and sandwich bags.This acquisition provided CPI with an entry into the consumer products business.

In order to effectively compete in the industrial products industry, CPI opportunistically purchased Mid-America Bag of Chicago Illinois. In turn, MAB built a new 135,000 square foot blown film facility in Pleasant Prairie, Wisconsin. The facility currently houses 16 extruders with excess capacity capabilities. Also within the film products division, CPI entered a trademark license agreement with Rubbermaid Canada. The license grants CPI the exclusive right to produce and market a national brand of household refuse bags in Canada utilizing the Rubbermaid® trademark.

The company employs in excess of 950 people, occupies in excess of 475,000 square feet of manufacturing space and houses over 150 extruders and 4 injection molding machines. A centralized tool room supplies customized tooling to all plants. CPI has evolved from a producer of generic products to a sophisticated custom extrusion company offering our customers highly engineered plastic profiles and post extrusion fabrication. CPI's plans for the future will focus on three growth areas: custom profiles, Extrudawood and film extrusion. CPI became a public company on September 21, 1998 and is listed on the Toronto Stock Exchange under the trading symbol of CPI.
